1. Agreement to These Terms
These Terms of Use (“Terms”) govern your access to and use of the website at offlineprotocol.com and its subpages (the “Site”), operated by Offline Protocol, Inc. (“Company”, “we”, “us”, “our”), a company organized under the laws of the State of Delaware, United States. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
These Terms apply to the informational Site only. They do not govern the Fernweh or MINE applications, the Offline Protocol SDKs, or any paid product or service. Those are covered by their own separate terms and agreements (see Section 4).
We may update these Terms from time to time. Changes take effect when we post them, and we will update the “Last updated” date below. Your continued use of the Site after a change constitutes acceptance of the revised Terms.
2. Who May Use the Site
The Site is a business-oriented, informational website. You may use it if you can form a binding contract with us and are not barred from doing so under applicable law. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
3. What the Site Is
The Site provides general information about Offline Protocol and its products, including the Mesh SDK, Service Discovery, OfflineID, and offline telemetry, together with documentation links, guides, an interactive sandbox, a network map, pricing information, and ways to contact us or book a call.
3.1 Informational Purpose Only
Content on the Site is provided for general information. It is not professional, legal, security, or engineering advice, and it is not an offer or a binding commitment to provide any product, feature, price, or service. Nothing on the Site creates a contract between you and us by itself.
3.2 Forward-Looking and Illustrative Content
The Site may show metrics (for example, network size, device counts, downloads, or coverage), roadmaps, and future plans. These figures are estimates or point-in-time measurements and may be rounded, illustrative, or change without notice. Roadmap items are goals, not promises, and may be delayed, changed, or dropped. Do not rely on any such statement as a guarantee of future availability or performance.
3.3 Interactive Demos
Any interactive features on the Site (such as the sandbox or the browser mesh demo) are provided for demonstration on an “as is” basis and may be limited, reset, or removed at any time.
4. Products Are Governed Separately
Pricing and product descriptions on the Site are summaries for information only. Actual use of our products is governed by separate agreements:
- The Fernweh and MINE applications are governed by their own in-app terms of service and privacy policies (see docs.offlineprotocol.com/legal).
- The Offline Protocol SDKs and commercial offerings (Mesh SDK licensing, Service Discovery, OfflineID, and telemetry) are governed by the license or commercial agreement you enter into with us.
- Purchases from our shop (shop.offlineprotocol.com) are governed by that store’s own terms.
Booking a call, submitting the contact form, or requesting information does not create any contract, order, or entitlement to a product, price, or service. Any engagement is subject to a separate written agreement.
5. Acceptable Use
You agree not to:
- Use the Site in violation of any applicable law or regulation
- Attempt to gain unauthorized access to the Site, its servers, or any connected systems
- Interfere with, disrupt, overload, or attempt to degrade the Site or its infrastructure (including denial-of-service attempts)
- Probe, scan, or test the vulnerability of the Site except as expressly permitted by our security policy
- Use bots, scrapers, or other automated means to access the Site in a manner that burdens our infrastructure or ignores our robots directives
- Submit false, misleading, or abusive information through our contact form or scheduling tools, or use them to send spam
- Copy, reproduce, or republish substantial portions of the Site’s content without permission, except as allowed under Section 6
- Remove, obscure, or alter any copyright, trademark, or other proprietary notices
Security researchers acting in good faith should follow our security policy; responsible testing consistent with that policy is welcome.
6. Intellectual Property
6.1 Our Content
The Site and its content, including text, graphics, logos, design, layout, code, and documentation, are owned by Offline Protocol, Inc. or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, personal, non-exclusive, revocable license to view and use the Site for your own informational and evaluation purposes. All rights not expressly granted are reserved.
6.2 Trademarks
“Offline Protocol”, “Fernweh”, “MINE”, “OfflineID”, and associated names and logos are trademarks of Offline Protocol, Inc. You may not use them without our prior written consent, except for nominative fair use (for example, to refer to our products accurately).
6.3 Third-Party Materials
Some materials on the Site (such as open-source components, map tiles, or fonts) are provided under their own licenses by their respective owners, and those licenses govern your use of them.
6.4 Feedback
If you send us feedback, suggestions, or ideas about the Site or our products, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or obligation to you.
7. Third-Party Links and Services
The Site links to and integrates with third-party services, including our documentation (Mintlify), our shop, GitHub, X (Twitter), Calendly for scheduling, and Web3Forms for the contact form. We do not control these services and are not responsible for their content, availability, or practices. Your use of them is governed by their own terms and privacy policies.
8. Privacy
Your use of the Site is also governed by our Privacy Policy, which explains what limited information we collect (consent-gated analytics, the contact form, and scheduling) and your rights. Please review it.
9. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of harmful components, or that any information on the Site is complete, accurate, or current. You use the Site at your own risk.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFLINE PROTOCOL, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, USE, GOODWILL, OR PROFITS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT LIABILITY CANNOT BE FULLY DISCLAIMED, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to defend, indemnify, and hold harmless Offline Protocol, Inc. and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or connected with your use of the Site or your violation of these Terms or of any applicable law or third-party right.
12. Governing Law and Disputes
12.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.
12.2 Venue
Except where prohibited by applicable law, you agree that any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Nothing in this Section prevents either party from seeking injunctive or equitable relief to protect intellectual-property rights in any court of competent jurisdiction.
13. General
13.1 Entire Agreement
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site, and supersede any prior understandings regarding the Site.
13.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
13.3 Waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
13.4 Assignment
You may not assign these Terms without our prior written consent. We may assign them without restriction.
13.5 Force Majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, outages, or failures of third-party services.
